These Terms of Use (“  Terms of Use  ”) apply to your access to and use of the services, applications, products, or websites associated with these Terms (collectively, the “  Services  ”), which are owned and operated by Harman International Industries, Incorporated or its subsidiaries. Certain features of the Services, such as certain mobile applications, additional services, promotions, and offers, may be subject to additional terms and conditions (“  Additional Terms  ”) presented together. We may present these Additional Terms to you through the Services. However, regardless of how they are presented to you, you must agree to the Additional Terms before using those features of the Services. Unless otherwise specified in the Additional Terms, all Additional Terms are incorporated into these Terms of Use. “  Harman Content  ” means all content, features, and functionality (including, without limitation, all information, code, content, artwork, diagrams, metadata, meta tags, markup information, page style and format, photos, expressions, product descriptions, software, text, displays, images, video, and audio, as well as the design, selection, and arrangement thereof, the compilation of all of the foregoing, and all associated intellectual property rights and goodwill) made available through the Services, or otherwise provided to you by us or on our behalf through the Services. Harman Content does not contain Personal Data.

“  Personal Data  ” means any information that can be used to identify you, either alone or in combination with other information. Personal Data does not include aggregated or other anonymized information (including metadata) collected by us that cannot be used to identify you, even if such information is derived from your Personal Data.

“  Your Content  ” means the information, comments, photos, images, video, data, text and other content that you may post, upload, save, share, send or display on the Services.

The Services are offered and made available to users who are at least 18 years old. By using the Services, you represent and warrant that you are at least 18 years old. 

We may remove or change the Services, and any services or materials we provide on the Services, at our sole discretion and without notice. We are not liable for any part or all of the Services being unavailable at any time or for any period. We may from time to time restrict access to some or all of the Services to users, including registered users.

In order to access the Services or some of the resources they offer, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all information you provide in connection with your use of the Services is accurate, current, and complete. Harman International Industries, Incorporated (and its licensors) owns all Services and Harman Content, which is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property rights laws. We reserve all rights in and to the Harman Content. We do not grant you any right, title, or interest in or to the Harman Content except as expressly granted under these Terms of Use.

You may not copy, reproduce, publish, distribute, transmit, broadcast, display, exhibit, edit, modify, create derivative works from, or in any way exploit, any part of the Harman Content. You may not frame or use framing techniques to enclose our trademark, logo, or other proprietary information. You will not use meta tags or any other "hidden text" utilizing our name or trademarks. You may not delete, remove, or otherwise alter any copyright, trademark, or other proprietary notice appearing in or on the Harman Content. You may not take any action intended to compromise, limit, or otherwise affect our rights in the Harman Content. You agree not to portray us, our products, or Services in a false, misleading, derogatory, or otherwise offensive manner. We reserve the exclusive right, at our sole discretion, to enforce our claims against third parties for infringement or misappropriation of our intellectual property rights regarding Harman Content. The Services may contain Harman Content owned or licensed by third parties. All restrictions set forth in these Terms of Use apply equally to all Harman Content owned or licensed by third parties.

Our name, terms, logo, trademarks, and all related names, logos, product and service names, designs, and slogans are our trademarks (or those of our licensors or affiliates). You are not authorized to use these marks without our prior written consent. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Subject to the restrictions set forth in these Terms of Use, you may use the Services for your personal, non-commercial use. You will not, and will not assist or induce any third party to: (i) extract, separate, delete, or copy the Harman Content; (ii) disassemble, decompile, reverse engineer, or otherwise convert any part of the Harman Content to source code or a human-perceivable form; (iii) adapt, modify, or create a derivative work from the Harman Content; (iv) distribute, encumber, rent, sell, transmit, transfer, or otherwise dispose of the Harman Content, in whole or in part; or (v) use the Harman Content for any other purpose.

If you print, copy, modify, download, use or otherwise provide any other person with access to any part of the Services in violation of the Terms of Use, your right to use the Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. You understand and acknowledge that you are responsible for Your Content, and that you, and not us, have full responsibility for its content, including its legality, reliability, accuracy, and appropriateness. We cannot and are not obligated to review content before it is posted on the Services, and we cannot ensure prompt removal of objectionable content after it has been posted. We will not be liable to any person for performance or nonperformance of the activities described in these Terms of Use.

By posting and uploading content that you have tagged with our brands and hashtags to social media sites, you authorize us to search for your tagged posts (hereinafter referred to as a “  Social Media Post  ”). We may contact you directly, publicly or privately, through the social media platform on which the Social Media Post is located and request your permission to use the Social Media Post. If you grant us permission as requested in our request, you grant the Authorized Parties the same right and provide the same representations and warranties for the Social Media Post as you would for Your Content. You hereby release, discharge, and agree to hold harmless the Authorized Parties from any and all liability related in any way to the Authorized Parties’ use of your Social Media Post.

Our use of your Personal Data from your Social Media Post will be in accordance with our Privacy Policy.

You agree to defend, indemnify, and hold us, our parent company, stakeholders, affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns harmless from any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or charges (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, without limitation, Your Content, any use of Harman Content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services. This obligation will survive any termination or modification of these Terms of Use.

These Terms of Use are governed by and construed in accordance with the laws of the State of New York, without regard to any conflict of law provisions. Any disagreement or dispute arising out of or relating to these Terms of Use shall be settled by arbitration in accordance with the rules of arbitration of the American Arbitration Association and conducted by one arbitrator selected by the parties to the arbitration. The seat of arbitration shall be the borough of Manhattan, New York City. The decision of the arbitrator shall be final and binding. Any court having jurisdiction may enter judgment on the arbitration award. The parties waive any right to appeal the arbitration award to the extent provided by law. Each party retains the right to seek judicial assistance: (a) to compel arbitration; (b) to obtain interim measures of protection pending the issuance of the arbitration award; and (c) to enforce any decision of the arbitrators, including the final arbitration award. The prevailing party in the arbitration is entitled to reimbursement of its reasonable expenses, including attorneys' fees, incurred in connection with the proceeding.

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or class member in a class, consolidated, or consolidated action.

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OF USE OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, THE CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Our failure to enforce or apply any right or provision of these Terms and Conditions shall not constitute a waiver of that right or provision. In the event that a specific provision is unenforceable, the unenforceability of that provision will not affect the remaining terms and conditions.

These Terms of Use, the Privacy Policy, the Terms of Sale and any Additional Terms constitute the entire agreement between you and us regarding the Services, and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding the Services.

If you believe that your work has been improperly copied and posted on the Services, please provide us with your name, address, telephone number, email address, signature in paper or electronic format, a description of your copyrighted work, a description of where it is located on the Services, and your affidavit affirming, under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

You may notify us in writing regarding any objectionable content. We will make good faith efforts to investigate all reports of objectionable content that violates the Terms of Use, but we do not represent or warrant that we will take any action regarding such reports.
